　　13装运条款：
　　FOB
　　卖方应在合同规定的装运日期前30天，以电报电传传真通知买方合同号、品名、数量、金额、包装件、毛重、尺码及装运港可装日期，以便买方安排租船订舱。装运船只按期到达装运港后，如卖方不能按时装船，发生的空船费或滞期费由卖方负担。在货物超过船舷并脱离吊钩以前一切费用和风险由卖方负担。

　　15质量保证：
　　Qualityguarantee：
　　货物品质规格必须符合本合同及质量保证书之规定，品质保证期为货到目的港个月内，在保证期限内，因制造厂商在设计制造过程中的缺陷造成的货物损害应由卖方负责赔偿。
　　ThesellersshallguaranteethatthecommoditymustbeinconformitywiththequalityandspecificationsspecifiedinthiscontractandLetterofQualityGuarantee。Theguaranteeperiodshallbemonthsafterthearrivalofthegoodsattheportofdestination，andduringtheperiodthesellersshallberesponsibleforthedamageduetothedefectsindesigningandmanufacturingofthemanufacturer。
　　16商品检验：卖方须在装运前日委托检验机构对合同之货物进行检验并出具检验证书，货到目的港后，由买方委托检验机构进行复检。

　　17索赔
　　Claims：
　　如经中国检验机构复检，发现货物有损坏、残缺或品名、规格、数量及质量与本合同及质量保证书之规定不符，买方可于货到目的港后天内凭上述检验机构出具的证明书向卖方要求索赔。如上述规定之索赔期与质量保证期不一致，在质量保证期限内买方仍可向卖方就质量保证条款之内容向卖方提出索赔。
　　ThebuyersshalllodgeclaimsagainstthesellersbasedontheInspectionCertificateissuedbyChinaInspectionAuthorityDaysafterthearrivalofthegoodsatthedestination，ifthegoodsarefoundtobedamaged，missingorthespecifications，quantity，andqualitynotinconformitywiththosespecifiedinthiscontractandLetterofQualityGuarantee。Incasetheclaimperiodabovespecifiedisnotinconformitywiththequalityguaranteeperiod，duringthequalityguaranteeperiod，thebuyershaverightstolodgeclaimsagainstthesellersconcerningthequalityguarantee。
　　18延期交货违约金
　　Latedeliveryandpenalty
　　除双方认可的不可抗力因素外，卖方迟于合同规定的期限交货，如买方同意迟延交货，卖方应同意对信用证有关条款进行个性和同意银行在议付货款时扣除本条规定的违约金。违约金总值不超过货物总价值的5，差率按7天0。5计算，不满7天仍按7天计算。在未采用信用证支付的情况下，卖方应将前述方法计算的违约金即付买方。
　　Ifthesellersfailtomakedeliveryontimeasstipulatedinthecontract，withexceptionofForceMajeure，thebuyersshallagreetopostponethedeliveryonconditionsthatthesellersagreetoamendtheclausesoftheLCandpayapenaltywhichshallbedeductedbythepayingbankfromthepaymentundernegotiation。Thepenalty，however，shallnotexceed5ofthetotalvalueofthegoods。Therateofpenaltyischargedat0。5foreverysevendays，iflessthatsevendays。Incase，thepaymentisnotmadethroughLC，thesellersshallpaythepenaltycountedasabovetothebuyersassoonaspossible。
　　19人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履约，卖方概不负责，但卖方应将上述发生的情况及
　　时通知买方。
　　ForceMajeure：ThesellersshallnotholdanyresponsibilityforpartialortotalnonperformanceofthiscontractduetoForceMajeure。Butthesellersshalladvisethebuyersontimesofsuchoccurrence。
　　20争议之解决方式：
　　Disputessettlement：
　　任何因本合同而发生或与本合同有关的争议，应提交中国国际经济贸易仲裁委员会，按该会的仲裁规则进行仲裁。仲裁地点在中国深圳。仲裁裁决是终局的，对双方均有约束力。

　　本合同之签订地、或发生争议时货物所在地在中华人民共和国境内或被诉人为中国法人的，适用中华人民共和国法律，除此规定外，适用《联合国国际货物销售公约》。
　　ItwillbegovernedbythelawofthePeople’sRepublicofChinaunderthecircumstancesthatthecontractissingedorthegoodswhilethedisputesarisingareinthePeople’sRepublicofChinaorthedeffendantisChineselegalperson，otherwiseitisgovernedbyUnitedNationsConventiononContractfortheInternationalSaleofGoods。
　　22本合同使用的FOB、CFR、CIF、DDU术语系根据国际商会《Incoterms1990》
　　23文字：本合同中、英两种文字具有同等法律效力，在文字解释上，若有异议，以中文解释为准。

　　6。4督促管理公司向乙方提供所应提供的服务，如冷水、热水、电的供应及
　　各种设备（包括空调）的正常工作，并提供公共区域和公共设施的开放，如健身房、儿童房和其他娱乐场所。督促公共区域和公共设施的清洁；公共区域的照明并提供道路指示牌。督促道路和公共区域的维护；督促修理、保养和更换大厦的保安设施、消防设施、电器设施、变压器、煤气、排水、空调、电梯和其它设施。
　　ToensuretheestatemanagertoprovideproperservicetoPartyB，suchassupplyofcoldwater，hotwater，electricity，propermaintenanceofallkindsofequipment（includingairconditioners），andtoprovidefreeaccesstopublicareasandfacilitiessuchasgymnasium，children’sroomandotherrecreationalareas。Ttorepair，maintain，andreplacesecurity，firefightingandelectricalappliances，transformer，gas，sewage，airconditioningsystems，elevators，liftsandotherfacilitiesofthebuilding。
　　6。5保证物业的合法性，保证有合法权利出租该物业。

　　6。6负责因违反上述责任而对乙方造成的所有损失的赔偿。

　　七、乙方责任：

　　7。3乙方应爱护房屋及其设备，如因使用不当导致损坏应负责赔偿。

　　7。4在房内已有的装饰和设施之外，乙方如要增加设备或其他装修须征得甲
　　方同意；租赁期满必须恢复原状如有损坏（正常使用磨损、结构或原有的问题除外），并承担其费用，经甲方验收认可后归还甲方。

　　7。5保证赔偿由于乙方或乙方有关系的官员、上司、雇员、客人、来访者、
　　雇佣工人、代理、执照持有者或被邀请人等（统称与乙方相关的人）的粗心及疏忽造成的房屋的损害或损失，并允许甲方或其代理人在事先通知后进入房屋，对房屋的损失或损害进行弥补及修复，在此所发生的费用由乙方负担。
　　ToindemnifyPartyAforanylossordamagetotheleasedpropertyfromnegligentactoromissionofPartyBoranyofficer，director，employee，guest，visitor，servant，agentlicenseeorininviteeofPartyB（eachreferredtohereinafterindividuallyasan“associate”），topermitPartyAorhisauthorizedrepresentatives，withanadvancenotice，toentertheleasedpropertytorepairanysuchlossordamageattheexpenseofPartyB。
　　7。6在甲方预先通知后，乙方应允许甲方或其代理人在有理由的情况下在合
　　理的时间进入及巡视房屋进行必要的维修或修复工作；在租赁期最后一个月内，允许甲方或其代理人带领有意租赁或购买房屋的客人视察房屋，但乙方已按第2。2条书面通知甲方将续租时除外。
　　WithPartyA’snoticeinadvance，PartyBshouldpermitPartyAandthepersonauthorizedbyPartyAunderreasonablecircumstancestoenterandviewtheleasedpropertyatreasonablehours，tocarryoutanyworkandrepairswhichisnecessarytobedone。DuringthelastonemonthsoftheTenancy，PartyAhastherighttoshowthe
　　leasedpropertytoprospectivelessorsorpurchasers，unlessaccordingtoclause2。2，PartyBhasinformedPartyAofitsintentiontorenewtheLease。
　　7。7在未经甲方书面同意下，乙方不得擅自设立、安装或移动设施及设备，
　　不能擅自设立隔段，不得擅自对房屋的结构机关改动或增加。
　　Nottoerect，installorremoveanyfixturesorpartitioning，ortomakeanystructuraladditionsandalterationswithoutthepriorwrittenconsentofPartyA。
　　7。8租赁房屋过程中，必须严格遵守中华人民共和国的有关法律、细则、规
　　章及法令的规定，并严格禁止乙方利用房屋进行违犯法律及不道德的行为。
　　Strictlytocomplyandadhereintheuseoftheleasedpropertywithalllaws，regulationsanddecreesofthePeople’sRepublicofChinaapplicabletosuchuse，andspecificallynottopermitorsuffertheleasedpropertytobeusedforanypurposethatisunlawfulorimmoral。
　　7。9房屋除供乙方居住之外，未经甲方书面同意，房屋不可作办公或协议未
　　曾说明之用。上述同意不应不合理地拒绝。
　　TousetheleasedpropertyexclusivelyastheresidenceofhisfamilyandnottousetheleasedpropertyasanofficeorforanyotherpurposewithoutthepriorwrittenconsentorPartyA，whichconsentshallnotbeueasonablywithheld。

　　（17）不可抗力：卖方对由于下列原因而导致不能或暂时不能履行全部或部分合同义务的，不负责任：水灾、火灾、地震、干旱、战争或其他任何在签约时卖方不能预料、无法控制且不能避免和克服的事件。但卖方因尽快地将所发生的事件通知对方，并应在事件发生后15天内将有关机构出具的不可抗力事件的证明寄交对方。如果不可抗力事件之影响超过120天，双方应协商合同继续履行或终止履行的事宜。

　　2。房屋设施如因质量原因、自然损耗、不可抗力或意外事件而受到损坏，甲方有修缮并承担相关费用的责任。如甲方未在两周内修复该损坏物，以致乙方无法正常使用房屋设施，乙方有权终止该合约，并要求退还押金。
